1. Introduction & Acceptance
These Terms & Conditions ("Terms") govern your access to and use of the U-Scale CAPI Shopify application and related services (the "Service") provided by U-Scale ("we", "us", "our"). By installing the Service from the Shopify App Store, accessing it from your Shopify admin, or otherwise using it, you ("Merchant", "you") agree to be bound by these Terms. If you do not agree, do not install or use the Service.
2. Description of Service
U-Scale CAPI is an embedded Shopify application that transmits server-side conversion events (such as Purchase and Initiate Checkout) from your Shopify store to third-party advertising platforms, beginning with Meta's Conversions API. The Service is provided to help improve the accuracy of conversion attribution and ad optimization.
3. Eligibility
You must (a) operate a Shopify store in good standing, (b) be of legal age to enter into a binding contract in your jurisdiction, and (c) have authority to bind the business operating the Shopify store to these Terms.
4. Shopify App & Account Responsibilities
The Service is installed through Shopify and authenticated using your Shopify account. You are responsible for maintaining the security of your Shopify account, configuring the Service correctly (including supplying valid third-party credentials such as Meta pixel IDs and access tokens), and ensuring that your use of the Service complies with Shopify's Terms of Service and any applicable platform policies.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose;
- Transmit data you do not have lawful rights to transmit;
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Interfere with or disrupt the integrity or performance of the Service;
- Use the Service to violate the terms of any third-party platform, including Shopify or Meta.
6. Fees & Billing
Fees for the Service are displayed in your Shopify admin at the time of subscription and are billed through Shopify Billing on a recurring basis. You authorize Shopify to charge the applicable fees to your Shopify account. All fees are non-refundable except as required by applicable law or expressly stated by us in writing. We may change pricing on prospective renewals with reasonable notice.
7. Third-Party Services
The Service relies on third-party platforms, including Shopify and Meta. Your use of those platforms is governed by their own terms and policies. We are not responsible for changes, downtime, deprecations, or policy actions of third-party platforms, and we make no warranty regarding their availability or behavior.
8. Intellectual Property
The Service, including all software, designs, trademarks, and documentation, is the intellectual property of U-Scale or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription term.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DELIVER ANY SPECIFIC ADVERTISING OUTCOME OR RETURN ON AD SPEND.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL U-Scale BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless U-Scale, its affiliates, and personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in breach of these Terms, (b) your violation of any law or third-party right, or (c) the data you transmit through the Service.
12. Term & Termination
These Terms remain in effect for as long as the Service is installed in your Shopify store. You may terminate at any time by uninstalling the app from your Shopify admin; billing through Shopify will stop in accordance with Shopify's policies. We may suspend or terminate access to the Service for breach of these Terms or where required by law or by a third-party platform.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Shopify admin, by email, or by posting an updated version of these Terms. Continued use of the Service after an update constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws applicable at , without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts in that location, except where applicable law grants the consumer the right to bring proceedings in another forum.
